Welcome to Content Library. Content Library is owned and licensed by Third Bridge Group Limited, a company registered in England and Wales (company number 06263699) together with its group companies (“we” “us” “our”).

We grant you a non-exclusive, non-transferrable, royalty-free license to access Content Library and the Content Library information, material, and content (“Content”) subject to the restrictions contained in these T&Cs and subject to the terms of any other license agreement that we may have in place with your organisation from time to time.

1. Acceptance and Privacy

a.
Please read these T&Cs carefully. By logging in and accessing Content Library, you agree to these T&Cs and to our Privacy Policy (as may be amended from time to time)

b. If you do not agree to these T&Cs, you are not authorised to access Content Library and you must notify us and your organization immediately.
c. We may update these T&Cs in our sole discretion at any time, by posting the new terms on our Content Library Portal.

2. Log-In Details

In order to access Content Library, you will be given log-In details. You agree that:
a. your log-in details are only for your personal use, and you will not use your log-in details to access materials for a third party;

b. you will not permit anyone else to use your log-In details to access Content Library;
c. you will keep your Log-In Details confidential; and

d. you will inform us immediately if: (i) you believe that someone has gained unauthorized access to your account; and/or (ii) your log-In details have been disclosed to a third party

3. Acceptable Use

You agree to the following in your use of Content Library:
a. to fully comply with all applicable laws and regulations;

b. not to share, distribute, forward, copy, reproduce in any form or provide access to the Content with anyone who is not an authorized user of Content Library within your own organization, except where required to disclose specific Content by law or by regulation (and then, to the fullest extent permissible by law, to notify us of such disclosure as soon as reasonably practicable);
c. only to download, view and print the Content within your own organization provided that you do not remove any trademarks, copyright, proprietary notices or disclaimers;

d. not to use Content Library in any way which may disrupt or restrict use of Content Library by other users;

e. not to reverse engineer, decompile, copy or adapt any software or other code scripts forming part of Content Library;

f. not to transmit any virus, malware or other harmful or disruptive content onto Content Library  including spamming;

g. not to access Content Library to develop or create a competing product or service;

h. not to sublicense, re-sell or distribute Content Library or any of the Content;

i. not upload any content that is harmful, hateful, unlawful, obscene, defamatory or infringes privacy or intellectual property rights;

j. not to violate or encourage others to violate any intellectual property rights.

4. Intellectual Property

a.
Third Bridge reserves all copyright, intellectual and other property rights in the Content. Any modification, reformatting, copying, displaying, distributing, transmitting, publishing, licensing, creating derivatives works from, transferring or selling any Content is strictly prohibited.

b. We own or are licensed to use all of the intellectual property in Content Library and its Content and we reserve all our rights except as expressly granted in these T&Cs.

5. Disclaimer and Limitation of Liability

a.
Access to Content Library, its Content, products and services are provided on an “as is” and “as available” basis. We do not make any warranties or representations, expressed or implied, including but not limited to warranty of merchantability, quality, non-infringement, fitness for a particular purpose or warranty of assumption of responsibility for Content Library or its Content. You assume all risk of use. No warranty is given that the services will be error-free, free of viruses or uninterrupted. We are not responsible for invalid destinations and transmission errors in, corruption of, or the security of information carried over telecommunications carriers’ or other providers’ facilities. We have no liability for faulty or interrupted communication links.
b. We will not be liable to you or any third party for any direct, special, indirect, consequential, punitive or incidental damages or loss of profits incurred arising out of, or relating to, the use or inability to use Content Library or any Content of Library. Third Bridge expressly disclaims any responsibility for any opinions or views expressed in the Content.
c. Nothing in these T&Cs excludes or limits our liability for death or personal injury or for any other losses which cannot be excluded or limited by law.

d. We are not responsible for links on Content Library to third party websites or materials, products, information or services on or accessible through any website not operated by us, where your access and use of such websites remains at your own risk.
e. **The Content is for informational purposes only and does not constitute a trade recommendation and should not form the basis of any investment decision. The Content has not, is not, and should not be construed as an offer, bid or solicitation in relation to any financial instrument, security, commodity or futures instrument or as an endorsement, recommendation or sponsorship of any financial instrument, security, commodity or futures instrument, or as investment, tax, accounting or legal advice. **

f. Specialists are not employees, agents or sub-contractors of Third Bridge. They are independent individuals. The views expressed in the Content are those of the specialist and not those of Third Bridge. Third Bridge is not responsible for the Content and accepts no liability in respect of it.

g. We do not offer any recommendation to buy, sell or hold any security whether it is referred to in any Content or not. The Content does not constitute a personal recommendation or take into account the particular investment objectives, financial situations or needs of individual recipients. You should independently evaluate particular investments and strategies and seek the advice of a suitably qualified financial advisor. Third party statements and opinions contained in Content Library are not endorsed by, nor do they represent the opinion of us our any of our employees.
h. The audio recording of Interviews on Content Library may be made available at Third Bridge’s sole discretion depending on the audio quality and other factors. The audio is the raw audio of the interview and may contain inaudibles and irregularities.
i. You responsible for any material that you upload to Content Library.

6. Termination

a.
Your license and access to Content Library will be suspended or terminated immediately in accordance with any other overarching agreement we have in place granting you access and a licence to Content Library as an authorised user.
b. We may also terminate or suspend your licence and access to Content Library immediately in our sole discretion and without notice if we reasonable believe that you have breached these T&Cs. We expressly exclude our liability for actions taken in response to breaches of these T&Cs.

7. Miscellaneous

a.
If any of these T&Cs are determined to be void, invalid or otherwise unenforceable, such provisions (or part thereof) will be enforced to the fullest extent possible to be consistent with these T&Cs, and the remainder of these T&Cs will continue in full force and effect.

b. No failure or delay on our part in exercising any power, right or remedy under these T&Cs shall operate as a waiver of such right, power or remedy.

c. These T&Cs are governed by English Law and the courts of England and Wales will have exclusive jurisdiction to settle any disputes or claims in relation to these T&Cs.
